1. Acceptance of Terms

By accessing or using the Apex Affiliation Inc. website (apexaffiliation.com) or purchasing any product or service offered through it, you agree to be bound by these Terms & Conditions in their entirety. If you do not agree with any part of these terms, you must discontinue use of this website and its services immediately. These Terms & Conditions apply to all visitors, users, clients, and purchasers.

2. About Our Services

APEX AFFILIATION INC. offers a range of products and services, including but not limited to:

Coaching and personal development services (including the Apex Blueprint — Your Personal Playbook session, APEX Cohort group program, and APEX Elite 1:1 coaching program)
The Flight Assessment, administered by APEX AFFILIATION INC. under certification from Thomas and Thomas Consulting
Physical products including books and branded apparel
Speaking engagements and event-based services

These Terms & Conditions govern all of the above. Where a specific service or product has additional terms, those will be presented at the time of purchase or engagement.

3. Pricing

All prices displayed on the APEX AFFILIATION INC. website are listed in Canadian Dollars (CAD) unless otherwise specified.

For physical products (books, apparel, and merchandise): prices exclude applicable taxes and shipping. Taxes and shipping rates are calculated at checkout and vary based on the destination country and carrier rates at the time of order.

For coaching and digital services: prices are as listed at the time of booking or enrollment. Applicable taxes may be added at checkout depending on your location.

APEX AFFILIATION INC. reserves the right to change the price of any product or service at any time without prior notice. Prices confirmed at the time of your completed purchase or booking will be honoured and will not be retroactively adjusted.

4. Payment Terms

Full payment is required at the time of purchase or booking unless a payment plan has been explicitly agreed upon in writing. APEX AFFILIATION INC. accepts payment through the methods made available on the website at the time of transaction.

In the event of a failed, disputed, or reversed payment (including chargebacks), APEX AFFILIATION INC. reserves the right to suspend or cancel access to any associated service or product until the matter is resolved.

APEX AFFILIATION INC. shall not be liable for any overdraft fees, late charges, bank fees, or credit card charges incurred as a result of transactions with APEX AFFILIATION INC. Clients are responsible for ensuring sufficient funds are available prior to completing a purchase.

5. Refund & Cancellation Policy

Coaching Services (Apex Blueprint — Your Personal Playbook, APEX Cohort, APEX Elite):

Due to the time and preparation invested by APEX AFFILIATION INC. on behalf of each client, all sales for coaching services are final once a session or program has been booked and confirmed.

Cancellations made at least 48 hours before a scheduled session may be eligible for a one-time reschedule at no additional charge. Cancellations made within 48 hours of a scheduled session, or no-shows, will be forfeited without refund or reschedule.

If APEX AFFILIATION INC. cancels or needs to reschedule a session, the client will be offered a full reschedule or a complete refund for the affected session.

Physical Products (Books, Apparel & Merchandise):

If a physical product arrives damaged, defective, or materially different from what was described, the client must contact APEX AFFILIATION INC. at support@apexaffiliation.com within 14 days of delivery with photographic evidence. APEX AFFILIATION INC. will, at its discretion, offer a replacement, store credit, or refund.

Returns of undamaged or correctly fulfilled physical products are not accepted unless required by applicable law.

Books sold through third-party platforms (such as Amazon) are subject to that platform's refund and return policies, not those of APEX AFFILIATION INC.

Speaking Engagements:

Cancellation and refund terms for speaking engagements are outlined individually in the applicable speaking agreement or contract.

6. Coaching & Results Disclaimer

APEX AFFILIATION INC. provides coaching, personal development tools, and the Flight Assessment as educational and informational resources. Coaching is not therapy, counselling, financial advising, legal advising, or medical treatment, and should not be treated as such.

Results from coaching services vary significantly between individuals and depend on personal effort, commitment, circumstances, and other factors outside of APEX AFFILIATION INC.'s control. Testimonials, examples, and case studies shared by APEX AFFILIATION INC. are illustrative and do not guarantee that any individual will achieve the same or similar results.

The Flight Assessment, including references to its use by NFL teams, NBA teams, and Fortune 500 companies, is a proprietary tool owned by Thomas and Thomas Consulting. APEX AFFILIATION INC. is a certified administrator of the Flight Assessment through Thomas and Thomas Consulting and is authorized to use it under that certification agreement. The archetype frameworks, assessment materials, and all related intellectual property remain the exclusive property of Thomas and Thomas Consulting. Results from the Flight Assessment are intended to support self-awareness and personal growth and do not constitute a clinical, psychological, or diagnostic assessment.

By engaging with APEX AFFILIATION INC.'s coaching services, you acknowledge that you are responsible for your own decisions, actions, and outcomes.

7. Confidentiality

APEX AFFILIATION INC. treats all personal information and content shared by clients during coaching sessions as confidential. This information will not be shared with third parties without explicit written consent, except where required by law.

Clients are likewise expected to keep the content of their sessions, proprietary tools, and program materials confidential and not share them publicly or with third parties.

8. Intellectual Property Rights

APEX AFFILIATION INC. owns all intellectual property rights on this website and in its original materials, including but not limited to program content, written content, images, videos, and branding. These works are protected by copyright laws in Canada and internationally.

You may not: modify or copy the materials; use the materials for any commercial purpose or public display; attempt to decompile or reverse engineer any software on the APEX AFFILIATION INC. website; remove any copyright or proprietary notations from the materials; or transfer the materials to another person or mirror them on any other server.

Flight Assessment & Thomas and Thomas Consulting Materials: The Flight Assessment and certain associated materials — including archetype imagery and visual assets used on this website — are the exclusive intellectual property of Thomas and Thomas Consulting. APEX AFFILIATION INC. is a certified administrator authorized to use and deliver the Flight Assessment under a formal certification and licensing agreement with Thomas and Thomas Consulting. APEX AFFILIATION INC. makes no claim of ownership over the Flight Assessment or any materials originating from Thomas and Thomas Consulting.

The session delivery, client-facing presentations, and post-session materials created and provided by APEX AFFILIATION INC. are original works owned by APEX AFFILIATION INC. Unauthorized reproduction or distribution of these materials is prohibited.

Unauthorized use of any APEX AFFILIATION INC. original materials may give rise to a claim for damages and/or constitute a criminal offence.

9. Privacy Policy

APEX AFFILIATION INC. collects and uses personal information in accordance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA). By using this website or purchasing a product or service, you consent to the collection, use, and storage of your personal information as outlined in our Privacy Policy. 10. Limitations of Liability

YOUR USE OF APEX AFFILIATION INC. SERVICES IS AT YOUR SOLE RISK. THE APEX AFFILIATION INC. SERVICES AND ALL PRODUCTS AND SERVICES OFFERED THROUGH THE APEX AFFILIATION INC. WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, APEX AFFILIATION INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

APEX AFFILIATION INC. MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE OPERATION OF THIS SITE OR ANY OF ITS SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR SERVER ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF, OR INABILITY TO USE, THIS SITE OR ITS SERVICES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF APEX AFFILIATION INC. APEX AFFILIATION INC. SHALL NOT BE LIABLE FOR ANY OVERDRAFT, LATE, OR OTHER CHARGES ISSUED AGAINST YOU BY A BANK OR CREDIT CARD COMPANY IN CONNECTION WITH TRANSACTIONS ON THIS SITE.

Products sold through third-party platforms (e.g., Amazon) are subject to those platforms' own terms, conditions, and return policies. APEX AFFILIATION INC. is not responsible for the policies, practices, or content of third-party platforms.

12. Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms & Conditions or your use of APEX AFFILIATION INC.'s website, products, or services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached informally, disputes shall be submitted to the courts of competent jurisdiction located in the Province of Ontario.

APEX AFFILIATION INC. reserves the right to update or amend these Terms & Conditions at any time without prior notice. These Terms & Conditions, together with any applicable program agreements, booking confirmations, or additional terms presented at the time of purchase, constitute the entire agreement between you and APEX AFFILIATION INC. with respect to your use of this website and its services, and supersede all prior agreements, representations, or understandings.
